1. Platform Nature & Business Model

Basil Engg Infra Pvt. Ltd. (“Basil”) operates a Project Execution Partner Sourcing (PEPS) and business development platform. Basil connects project clients looking for civil, interior fit-out, MEP, and specialized construction services with suitable independent execution contractors.

Basil's matching service operates under a no-fee model for clients. Contractor business introductions and visibility services are governed by separate, mutually agreed commercial terms.

2. Independent Contractor Status

Contractors registered on or introduced through Basil are strictly independent business entities. They are NOT employees, partners, agents, joint venturers, or direct subcontractors of Basil. Basil does not supervise, direct, or control contractor day-to-day work, labour relations, site operations, or commercial decisions.

3. Non-Guarantee of Work Orders, Workmanship & Completion

Basil facilitates introductions and helps clarify project requirements based on information provided by the parties.

No Guarantee of Award: Registration with Basil or introduction to a client does not guarantee that a contractor will receive requests for quotation, contract awards, work orders, or business volume.
No Guarantee of Execution: Basil does not guarantee the workmanship, financial stability, completion timeline, safety compliance, material quality, or contractual performance of any introduced contractor.
No Guarantee of Savings: Basil does not guarantee cost savings, commercial margins, or financial returns for clients or contractors.

4. Client Due Diligence Responsibility

Clients retain sole responsibility for conducting their own technical, financial, and legal due diligence before entering into any binding agreement or issuing purchase orders to an introduced contractor. This includes independently verifying:

Detailed trade quotations and Bill of Quantities (BOQ) rates.
Current validity of statutory registrations, licenses (e.g. Electrical Class A, Fire Department approvals), and insurance policies.
Financial solvency, bank facilities, and previous client references.
Site safety standards and environmental health protocols.

5. Intellectual Property & Brand Assets

The Basil name, stylized “B” logo, trade marks, site layout, and editorial insights are the exclusive property of Basil Engg Infra Pvt. Ltd. Unauthorized duplication or misrepresentation is prohibited.

6. Limitation of Liability & Governing Law

To the maximum extent permitted by applicable law, Basil shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from disputes, delays, defects, or defaults arising out of contracts executed between clients and introduced contractors.
